Rane (Madras) Limited has agreed to acquire the friction business of Hindustan Composites Limited for an enterprise value of ₹370 crore (US$39.1 million), expanding its presence in India’s automotive and industrial braking materials market.

The transaction, structured as a slump sale, includes the well-established COMPO brake-lining brand, two manufacturing facilities in Maharashtra, intellectual property, employees, contracts and other business assets. The acquisition is expected to close by September 30, 2026, subject to customary regulatory approvals.

Rane’s existing friction materials business currently generates annual revenue exceeding ₹700 crore (US$73.9 million) across passenger vehicles, commercial vehicles, two-wheelers, railway applications, exports and the aftermarket.

Following completion of the acquisition, the combined friction materials business is expected to surpass ₹1,000 crore (US$105.6 million) in annual revenue, positioning Rane among India’s largest suppliers of friction solutions.
